Share transfer date validation – we have amended how our date validation works when recording a recent share transfer in Kudocs.  We now allow any Transfer Instrument Date (including if it is prior to the last confirmation statement date) and only validate that the date of entry into the register (ie when the legal interest passes) is after the last confirmation statement date.  This is to allow companies to record share transfers that have happened contractually, then while waiting for HMRC to stamp and return the STFs (form J30), the confirmation statement has been filed.  It is correct to not add the share transfer in that confirmation statement – as it has not been legally recorded yet, but the company then needs to be able to add the transfer once HMRC has confirmed that duty has been paid.

 

Add/ remove officers before last confirmation statement s.853A (1)(b) CA 2006 (as amended by ECCTA 2023) states that the purpose of filing the confirmation statement is to confirm that the information held by Companies House is accurate and up to date as of the confirmation statement date – this includes details of officers. Therefore you should not add/remove officers with an effective date that pre-dates the last confirmation statement.  In practice, however, this sometimes happens and so you can now select to override this date validation and add new / remove officers on a date that pre-dates the last confirmation statement.

Add SIC codes to entity reports – we now include SIC codes in entity summary reports.

 

Add nominal value to share issue register – we now include the nominal value of the share class at the time of issue in the share issue register.  This makes it easier to work out the share capital/ premium split.
